1. Who you're contracting with
These Terms & Conditions (the "Terms") form a binding agreement between you ("you", "user") and Farmnet360 ("Farmnet360", "we", "us") and govern your use of the FarmNet360 service, including the website, dashboards, marketplace, and related features (the "Service").
2. Acceptance
By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation.
3. The Service
Farmnet360 provides an agritech platform for farm management, sustainability tracking, records, and an optional marketplace where users may list farm-produced goods. Specific features and limits are described on our website and may vary by subscription plan.
4. Account & credentials
You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
5. Acceptable use
You must not, and must not permit any third party to:
- use the Service for unlawful, fraudulent, deceptive, or harmful purposes;
- upload malware, attempt to probe, scan or breach the Service's security;
- scrape, harvest, or otherwise extract data in bulk except through documented APIs;
- infringe intellectual property rights or send spam through the Service;
- misrepresent the origin, identity, or condition of goods listed in the marketplace.
6. Intellectual property
The Service, including its software, design, documentation and branding, is owned by Farmnet360 and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and any applicable plan limits. You retain ownership of content and data you upload to the Service.
7. Payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Subscription fees, billing cycle, taxes, renewals, cancellations and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
8. Service availability
We strive to keep the Service available and performant, but we do not guarantee that it will be uninterrupted, error-free, or free of security vulnerabilities. We may modify, suspend or discontinue features from time to time.
9. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, present a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time and may cancel any active subscription as set out in our Refund Policy.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Farmnet360's aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us (via Paddle) in the 12 months preceding the event giving rise to the liability. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence where such exclusion is not permitted by law.
12. Indemnity
You will indemnify and hold Farmnet360 harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which Farmnet360 is established, without regard to conflict-of-law principles. Disputes will be resolved in the competent courts of that jurisdiction.
